These Terms and Conditions govern the relationship between IVI LABS OOD (hereinafter referred to as "the Company", "we" or "us") and the individuals or legal entities (hereinafter referred to as the "User", "you") who use the Invexa platform – an integrated financial and operational SaaS system for invoicing, cash flow management, accounting operations and business analysis, available at https://invexa.bg.

By registering for and using Invexa, you express your unconditional agreement to these Terms and Conditions. If you do not accept these terms, you are not entitled to use the platform.

For the purposes of these Terms and Conditions, the following terms shall have the following meanings:

"Platform" – the Invexa web-based application, available at https://invexa.bg, including all of its modules, API integrations and mobile versions.

"Account" – the User's registered profile on the platform, through which the User obtains access to the services.

"Subscription Plan" – the pricing package selected by the User (Free, Pro, Premium or Enterprise).

"User Data" – any information entered by the User into the platform, including financial data, client records, invoices, documents and settings.

"Services" – all features of Invexa, including but not limited to: invoicing, expense management, bank integration (PSD2), reporting, project and document management.

"SaaS" – Software as a Service, a model for delivering a software product over the internet in return for a subscription fee.

3.1. Registration requirements - Use of the platform requires registration and the creation of an account. Registration is available to: Legal entities registered under the applicable law in the Republic of Bulgaria or another EU Member State; Individuals who have reached the age of 18, acting in their capacity as self-employed persons or as representatives of a business entity; Sole traders, limited liability companies, joint-stock companies and other legal forms.

3.2. Obligations upon registration - Upon registration, the User shall provide true, current and complete information. The User is responsible for the confidentiality of their access credentials (username and password) and for all actions performed through their account. The User shall immediately notify the Company upon becoming aware of any unauthorized access to their account at: support@invexa.bg.

3.3. Prohibition of transfer - The account is personal and may not be transferred, sold or rented out to third parties without the express written consent of the Company.

4.2. Payment terms - Subscription fees are paid in advance for the selected period (monthly or annually). All prices are stated exclusive of VAT, unless expressly stated otherwise. VAT is charged in accordance with the applicable legislation. Payments are made using the supported payment methods announced on the platform. The Company reserves the right to update its prices subject to at least 30 (thirty) days' prior notice.

4.3. Automatic renewal - Subscriptions renew automatically at the end of each billing period, unless the User has canceled the renewal through the account settings at least 24 hours before the period expires.

4.4. Refund policy - Fees for elapsed periods are non-refundable. When upgrading a plan, the price difference is calculated pro rata. When downgrading a plan, the change takes effect from the next billing period.

5.1. Rights - The User has the right to:
Use all features included in the selected subscription plan;
Receive technical support in accordance with the terms of their plan;
Export their User Data upon request;
Terminate the subscription at any time, subject to the cancellation terms.

5.2. Prohibited actions - The User undertakes not to:
Use the platform for unlawful purposes, including fraud, money laundering or tax evasion;
Enter false or misleading financial data for the purpose of circumventing regulatory requirements;
Reverse engineer, decompile or attempt to copy the source code of the platform;
Provide access to the platform to unauthorized third parties;
Perform automated scanning, scraping or overloading of the infrastructure;
Infringe the intellectual property rights of the Company or of third parties.

All intellectual property rights in the Invexa platform – including, but not limited to: source code, design, interface, algorithms, trademarks, logos and documentation – belong exclusively to IVI LABS OOD.

These Terms and Conditions do not grant the User any rights to the intellectual property of the Company, other than the limited right to use the platform in accordance with the selected subscription plan. The User retains all rights to the User Data they enter into the platform.

The User grants the Company a limited, non-transferable license to process this data solely for the purpose of providing the services.

The Company processes personal data in accordance with Regulation (EU) 2016/679 (GDPR), the Personal Data Protection Act and the Invexa Privacy Policy, available at https://www.invexa.bg/en/privacy-policy.

By accepting these Terms and Conditions, the User confirms that they have read and agree to the Privacy Policy.

8.1. Service level (SLA) - The Company strives to ensure platform availability of 99.5% on an annual basis, excluding scheduled maintenance windows, of which Users will be notified in advance.

8.2. Technical support - Technical support is provided by email and through a built-in ticketing system. Response times vary depending on the subscription plan. Enterprise clients are entitled to priority support and a dedicated manager.

8.3. Exclusions - The Company shall not be liable for interruptions caused by: force majeure, internet service provider outages, hacker attacks, actions of third parties or failure by the User to comply with the technical requirements.

To the maximum extent permitted by applicable law, the Company shall not be liable for:

Indirect, incidental, special or consequential damages, including lost profits;
Loss of data due to technical problems, except in the event of proven gross negligence on the part of the Company;
Financial decisions made by the User on the basis of analyses generated by the platform;
Damages caused by discrepancies between the data on the platform and the actual financial records, where the discrepancy results from input errors made by the User.

The maximum aggregate liability of the Company under these Terms and Conditions may not exceed the amount paid by the User for the services during the last 3 (three) months.
